Scope
The following general terms and conditions of sale and delivery shall
apply to the delivery of all items from the LabShark GmbH webshop. In
placing the order, the buyer shall accept the following conditions. In
the case of special orders or in exceptional circumstances, different
conditions may apply. Different conditions shall only be valid if they
have been agreed in writing.
2. Prices
Prices in electronic or printed form as well as verbal agreements are
without obligation; we reserve the right to make changes at any time.
Prices are without any deduction ex stock in CHF (Swiss francs) exclu.
VAT.
3. Small order surcharge
Should the net value of goods ordered amount to less than CHF 50, a small
order surcharge of CHF 10 shall be debited.
4. Processing fee
The customer shall be charged a flat-rate order processing fee of CHF
20 per order for orders by telephone or fax. There shall be no fee for
orders placed directly via our webshop, as in this case the order shall
be recorded automatically.
5. Delivery, delayed delivery
Delivery dates given are approximate and without obligation; they shall
begin after all the necessary details for the purchase have been established.
The purchaser may fix a final deadline of 60 days in writing in the event
of failure to keep to the specified delivery date and, should delivery
be delayed further, may withdraw from the contract. In the event that
the delivery cannot be made or is delayed, the purchaser may not claim
for damages.
6. Postage, packaging,
freight and insurance
Costs for postage, packaging, freight and insurance shall be debited according
to weight. Packaging material shall not be taken back. Installation and
commissioning work carried out by us will be charged for on a time and
material basis.
7. Transfer of use and
risk/Defects
LabShark GmbH guarantees that the goods shall leave the factory in perfect
condition. Use and risks shall be transferred to the purchaser upon dispatch
of the delivery ex stock. We must be notified of any defects immediately
in writing, at the latest within 2 working days. Any damages in transmit
must be reported to the carrier immediately on receipt of the goods, accepted
with reservations and held, together with the original packaging, at the
disposal of the haulier or transport insurance. Unless damages are reported
immediately and the facts established, compensation claims shall be excluded. |

8.
Terms of payment
Bills without discounts and strictly net shall be payable within 10 days
in the absence of written consent stating otherwise. In the event of late
payment, reminder fees of CHF 15 shall be debited for each reminder.
9. Warranty
LabShark GmbH shall provide a 12 month warranty commencing on the day
of delivery and a replacement free of charge in the event of material
or manufacturing defects. Parts subject to wear and tear shall be excluded
from the warranty. Servicing, maintenance, installation and commissioning
work shall not be included in the warranty. Warranty obligations going
beyond the warranty terms of its supply plants are hereby expressly excluded
by LabShark GmbH. In particular, LabShark GmbH shall not accept liability
for direct or indirect damages incurred by the purchaser. In the event
of late payment, no warranty shall be provided. The warranty shall expire
should the object of purchase be modified or not used with the original
material. Warranty claims may only be processed with a copy of the delivery
note or invoice.
10. Returns/Re-stocking
fee
Returned goods shall not be accepted without prior notification. There
shall be no obligation to take back goods ordered in error or in incorrect
quantities. We shall debit CHF 40 for re-stocking when taking back incorrect
deliveries where the customer is at fault. Opened packages and goods delivered
more than 5 working days previously may not be taken back or exchanged
on principle. All returns shall be made at the cost and risk of the purchaser.
LabShark GmbH may claim for more extensive damages upon production of
the relevant evidence.
11. Reservation of ownership
rights
LabShark GmbH shall remain the owner of the delivered goods until all
outstanding debts arising from its business dealings with the purchaser
have been paid in full.
12. Place of performance
and jurisdiction
The sole place of performance and jurisdiction for all disputes arising
directly or indirectly from the contractual relationship shall be Baar/ZG.
LabShark GmbH aims to serve its customers to the best of its belief and
knowledge at all times and to settle any disagreements amicably in good
faith where they arise.
